Terms of Service

Please read these Terms of Service ("Terms") carefully before using the LockedIn mobile application and related services (collectively, the "Service") operated by LockedIn ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms, you must not access or use the Service.
2. Description of Service
LockedIn is a personal accountability application that allows users to:
- Create and track daily habits in three categories: track (positive habits to build), avoid (negative habits to eliminate), and observe (habits to monitor without judgment)
- Log habit entries using various input types including toggles, counters, currency, and measurements
- Use Quick Add to log activities via text, voice, or image input
- Set and monitor personal goals for individual habits
- View insights and progress over customizable date ranges
- Receive AI-powered coaching and personalized advice through the Coach feature
- Maintain a personal journal with auto-save functionality
- Manage to-do lists and events with due dates, locations, and custom categories
- Review an activity log of all habit and to-do changes
- Optionally receive weekly email summaries of progress and personalized guidance
3. User Accounts
To use certain features of the Service, you must create an account using Google or Apple authentication, or use the limited guest mode. You are responsible for:
- Maintaining the confidentiality and security of your account
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or use of your account
- Ensuring that the information you provide is accurate and up to date
You must be at least 13 years old (or the applicable minimum age in your jurisdiction) to create an account and use the Service. A limited guest mode is available for exploring the app without creating an account; guest data may be subject to periodic cleanup.
4. User Content
You retain full ownership of any content you create in the Service, including habits, journal entries, goals, to-do items, events, and background information. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, transmit, and display your content solely as necessary to provide and improve the Service.
You represent and warrant that you have the right to submit all content you provide, and that such content does not:
- Violate any applicable law or regulation
- Infringe on the intellectual property rights of any third party
- Contain malicious code, malware, or harmful content
- Violate the privacy or rights of others
- Constitute harassment, abuse, or threats toward any person
5. AI Coach Feature
The AI Coach feature provides personalized suggestions and advice based on your habits, journal entries, background information, to-do items, and events. By using this feature, you acknowledge and agree that:
- AI responses are generated automatically by artificial intelligence and may not always be accurate, complete, or appropriate for your specific situation
- The AI Coach is not a substitute for professional medical, psychological, health, financial, or legal advice. Always seek the guidance of qualified professionals for serious health, mental health, financial, or legal concerns
- You should independently verify any information, suggestions, or recommendations provided by the AI Coach before acting on them
- We are not liable for any decisions you make or actions you take based on AI-generated content
- Conversations with the AI Coach are processed by third-party AI services (OpenAI) and are subject to their terms of service and privacy policies
- AI responses do not constitute professional advice of any kind
6. Weekly Email Summaries
By creating an account with a valid email address, you may opt in to receive weekly email summaries of your habit tracking progress. These emails contain personalized content based on your habits, goals, and journal entries. You can manage your email preferences, including opting out entirely, in the app's Settings at any time.
7. Account Deletion
You may delete your account at any time through the Settings screen in the app. When you delete your account:
- All associated data will be permanently and irreversibly deleted, including habits, entries, journal entries, goals, to-do items, events, conversations, background information, and activity logs
- You will no longer receive weekly email summaries or any other communications from us
- This action cannot be undone and all data will be unrecoverable
8. Intellectual Property
The Service and its original content (excluding user content), features, functionality, design, graphics, and code are and will remain the exclusive property of LockedIn and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of the Service.
9. Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or in violation of any applicable law or regulation
- To harass, abuse, threaten, or harm others
- To impersonate any person, entity, or organization
- To interfere with, disrupt, or overburden the Service or its infrastructure
- To attempt to gain unauthorized access to the Service, user accounts, or computer systems
- To use automated systems, bots, or scraping tools to access the Service without our prior written permission
- To transmit malware, viruses, or any other harmful code
- To collect or harvest information about other users without their consent
10. Service Availability
We strive to keep the Service available at all times, but we do not guarantee uninterrupted, timely, or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, server failures, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
11. Indemnification
You agree to defend, indemnify, and hold harmless LockedIn, its officers, directors, employees, agents, contractors, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
- Any content you submit, post, or transmit through the Service
- Any claim that your content caused damage to a third party
- Any actions taken based on AI Coach suggestions or recommendations
This indemnification obligation will survive the termination of these Terms and your use of the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOCKEDIN, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any content or conduct of any third party on the Service
- Damages resulting from reliance on AI-generated content, suggestions, or recommendations
- Damages resulting from interruption of service or inability to access the Service
- Any other damages arising out of or related to your use of the Service
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate, reliable, or complete
- Any errors in the Service will be corrected
- AI-generated content will be accurate, appropriate, or suitable for any purpose
You use the Service at your own risk. No advice or information, whether oral or written, obtained from us or through the Service shall create any warranty not expressly stated in these Terms.
14. Assumption of Risk
You acknowledge and agree that your use of the Service, including but not limited to acting on any AI-generated advice, habit tracking data, or wellness suggestions, is entirely at your own risk. LockedIn is a self-improvement tool and is not a medical device, healthcare provider, financial advisor, or licensed professional service. You should consult appropriate qualified professionals before making any health, financial, or life decisions.
15. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:
- Your right to use the Service will cease immediately
- We may delete your account and all associated data
- Sections 4, 8, 11, 12, 13, 14, 16, and 17 shall survive termination
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LockedIn operates, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts of competent jurisdiction.
You agree that any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in the jurisdiction where LockedIn operates, and you consent to the jurisdiction of such courts.
17. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and LockedIn regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: The failure of LockedIn to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
18. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect, either through in-app notification or by posting prominently on the Service. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the new Terms.
